Advice (New consultant Hires)

Hello, can someone please advise or support on the following:

I work for a company where we hired a new head of department under a 12 month contract. During his first 3 months in term, we have had a mass redudandcy letting go of a division under his management.

After this has happend, he is now bringing in the company he used to work for, for 6 years a few years back, to be this new division, that recently got let go.

This consultancy firm, also currently works with a direct competitor, as is advertised on the website. As well, a year and a half ago, we employed this company to be a consultant for the company. Of where the contract got ended early and I believe was due to certain problems caused, but all covered under NDAs.

Is therr any conflict of interest and or potential breaches of employment law etc.. As well, any advice how to go about this, as little people in the company are aware of any of this, due to being new starters, not having the time and or trusting the new head of department.
