Does a buildings debt follow when its ownership changes, does this sound fishy?

Lets say your brother owns a house, he hasn't paid the bank in 48 months (owes 225k on a 200k house. He also owns an apartment complex worth 1m with 400k owed. This brother has a year or so left, and would like to transfer these assets plus 250k in cash to pay for the house. You have to take everything or nothing, what do you think?
