Actual Day Wedding Photography Contract Terms
We’re engaging a photographer for our actual day wedding and just received the service agreement. Most parts look standard, but a few clauses caught our attention. We’re wondering if these are common (particularly the bolded parts) or if they’re potential red flags:
- EQUIPMENT DAMAGE - Client acknowledges that he/she shall be responsible for any damage or loss to Company's equipment caused by any misuse/damage by Client or its guests. Damage shall not be limited to, but shall include: physical contact resulting in broken equipment, any power failure resulting in surge damage, and/or liquid damage from event guest drinks/food. In the event of damage, loss, or theft of the equipment, the Client agrees to reimburse the Photographer for the repair or replacement costs of the damaged or lost items. The reimbursement shall be made within 5 days from the date of the incident, based on the fair market value of the damaged or lost equipment. The Photographer shall promptly inform the Client in writing of any damage, loss, or theft of the photography equipment and provide an itemized list of the damaged or lost items, along with their fair market value. The Client's responsibility for equipment damage, loss, or theft shall not be limited to the amount covered by any insurance policy held by the Photographer or any third-party rental service. The Client acknowledges that the Photographer cannot be held liable for any consequences arising from the unavailability of equipment due to damage, loss, or theft, including but not limited to the inability to capture certain images or complete the contracted services. The Client agrees to indemnify and hold the Photographer harmless against any claims, demands, suits, or actions arising from the damage, loss, or theft of the photography equipment caused by the Client or any individuals associated with the Client.
- LIMIT OF LIABILITY - The Company takes utmost care to ensure the availability of the equipment and backup of products. However, in the unlikely event of a equipment malfunction and/or product lost having to cease to provide service, for any reason beyond The Company's control, the limit of liability shall be a prorated amount based on the percentage total hours of service not rendered and the Balance Payment. In the unlikely event that Little Snap Productions is unable to render the service, for any reason beyond The Company's control, responsibility and liability is limited the return of all payments received in this Agreement.
- COPYRIGHT AND REPRODUCTION - Except as otherwise specifically provided herein, all photographs and rights therein, including copyright, remain the sole and exclusive property of the Company. The Company shall have the exclusive right to make reproductions for, including but not limited to, marketing materials, portfolio entries, sample products, editorial submissions and use, or for display within or on the Company's website and/or studio.
We ran the clause through ChatGPT and it seems like they clauses are a bit one-sided and proposed small changes like
- Full refund if cancellation is on their end.
- Clear personal usage license for us to print and share photos privately.
- Prior consent required for public use of our identifiable photos.
- Limit of liability capped at total amount paid instead of pro-ration.
The photographer seems reluctant to make any changes, saying “these are our standard terms and we won't proceed with booking if they are not accepted.”
Are these clauses typical for wedding photography in Singapore? Would it be a red flag if the vendor refuses to negotiate any part of the contract?
Appreciate any insight from those who’ve signed similar agreements!
