Board Motions for a 501c7 Non-Profit Social Club
Location: Texas, USA
I'm an officer (president) of a 501c7 Non-Profit Social Club as defined by the IRS.
Without going into the drama, several board members have taken a personal and professional dislike of me and often engage in retaliatory behaviour, including submission of meritless complaints to our Arbiter against me.
It should be noted, that while they currently hold the majority of the voting Board Members, they do not have the unanimous votes required to remove me as president.
Thus their malicious abuse of our processes in hopes that I'll get frustrated by their constant attacks and resign (Our new Board sits next month and they will no longer have a majority, so at this point it's just mudslinging for mudslinging's sake.)
The most recent complaints were dismissed for lack of foundation or evidence. However, the complaining Board Member intends to submit a series of retaliatory motions on Saturday.
Several of these motions involve trying to force me to personally pay for organizational costs.
We own a trailer that is on the land of the complaining Board Member. He has barred me from accessing his land and as such I am bringing to the Board alternative storage options. One motion is to force me to pay any rental fees for storage of said trailer.
Another motion is to retroactively force me to pay for printing costs associated with the organization: Meeting Agendas, information & QR fliers for our events. We've since purchased a printer for the organization.
Is it illegal to force an individual to pay for organizational costs? If not, is it at least unenforceable?
Our bylaws do not have any mention of fines or other fiscal requirements to be placed on our members or officers.
Note: I do have veto power. Any veto I issue on Saturday, would then be considered by the new Board who are much more reasonable.
However, I would prefer not to use it if possible.
Thanks!
