Someone just bought 462,962 shares at $1.08 with eyes open

One part of the new 8-K that I think gets overlooked is the buyer psychology.

This was not a retail market buy. This was a negotiated stock purchase agreement where an investor agreed to buy 462,962 shares of NXXΠ’ at $1.08 per share, totaling $500,000. That means the buyer was willing to commit real capital at a fixed price with full awareness that the transaction would be disclosed publicly.

You do not do that if you think a company is about to spiral and you can buy it much cheaper tomorrow. Could it still trade lower? Of course. But the point is that this investor accepted the terms and the timing, which suggests they saw the risk-reward as reasonable at this level.

This also answers a major concern people had right after the ATM cancellation. Some assumed the company would be forced into messy financing. Instead, they got a direct purchase at a known price. That is a very different signal than β€œwe are selling into the market every day.”

It is also consistent with the slow, steady price action we have been seeing. When there is a known financing structure and less uncertainty, the chart tends to clean up.
