Hoa special meeting 30 day notice question. Can it be conditional?

Location: Michigan

Our HOA covenant limits us to 3% increase in dues without a vote of all members.

Meetings need at least 30 days notice (no maximum stated). 60% needed for quorum. If quorum not met another meeting can be held within 60 days that requires 1/2 as many people to achieve a quorum (that meeting required to also have 30 days notice). can continue till quorum met. I guess it will take 3-5 meetings to achieve quorum.

2 questions/disagreements have arisen between common sense reading of covenants and what AI says.

1. can 1 notice be sent with conditional 2, 3, 4, 5 etc meeting dates and time and explaining they will only be needed if quorum (state actual # needed) is not met at the previous meeting?

2. If yes to 1, can meeting schedule be something like. 1st meeting Sept 1 2026 at 7pm, 2nd meeting if needed Sept 1 2026, at 7:20 pm, 3rd meeting at 7:40pm

4th meeting Sept 8 2026 at 7pm , 5th meeting at Sept 8, 2026 7:20 pm. or do the meetings need to be 30 days apart?

ARTICLE VI

COVENANT FOR MAINTENANCE ASSESSMENT

SECTION 3. MAXIMUM ANNUAL ASSESSMENT. Until January I of the year immediately following the conveyance of the first Lot by the Developer· to an Owner, the maximum annual assessment shall be One Hundred Twenty ($120.00) Dollars per Lot.

(a) From and after January I of the year immediately following the conveyance of the first Lot 10 an Owner, the maximum annual assessment may be increased each year not more than 3 % above the maximum assessment for the previous year without a vote of the membership.

(b) From and after January I of the year immediately following the conveyance of the first Lot to an Owner, the maximum annual assessment may be increased above 3% by a vote of two-thirds (2/3) of each class of Members who are voting in person or by proxy, at a meeting duly called for this purpose.

(c) The Board of Directors may fix the annual assessment at an amount not in excess of the maximum.

SECTION 6. NOTICE OF QUORUM FOR ACTION AUTHlORIZ£D UNDER SECTION 3.

Written notice of any membership meeting called for the purpose of taking any action authorized under Section 3 shall be sent to all Members at least thirty (30) days in advance of such meeting and shall set forth the purpose thereof. At the first meeting so called under Section3 hereof, t.he presence at the meeting of Members or of proxies, entitled to cast sixty (60)% of all the votes of each of the outstanding Class A and Class B memberships shall constitute a quorum. If the required quorum is not present at such meeting, another meeting may be called, subject to the notice requirement set forth above, and the required quorum at such subsequent meeting shall be one-half (1/2) of the required quorum at the preceding meeting provided that such subsequent meeting shall be held not more than sixty

(60) days following the preceding meeting at which a quorum was not present.
