Zepto IPO 2026 — Everything Confirmed vs Everything Still Speculative
This is one of the most asked questions in Indian IPO circles right now. Sharing what is actually confirmed versus what is still rumour.
Zepto received SEBI's formal observation letter on May 8, 2026. That is the regulatory clearance that allows the company to proceed with its public offering. This is confirmed — not rumoured. After SEBI observation, companies typically list within 12 weeks, which places Zepto's subscription window in July–August 2026.
The company filed an updated DRHP with a revised ₹8,010 crore fresh issue plan. This is a 100% fresh issue — no promoter OFS component. All proceeds go to the company. That is a clean capital deployment signal. Goldman Sachs, Morgan Stanley, and JM Financial are the appointed bankers — a credible international lineup targeting both domestic MF and FII participation.
Now for the business context. Zepto was founded in 2021 by Aadit Palicha and Kaivalya Vohra. As of March 2026: 47.97 million annual transacting users, 2.33 million orders per day, 1,139 dark stores across 66 cities. The operational scale is real and growing.
The company is not yet profitable. Quick commerce globally burns cash on dark store expansion and competitive discounting. The IPO proceeds are earmarked for more dark store expansion and technology — meaning continued investment before the path to profitability becomes clear.
Valuation has been discussed internally at ₹60,000–72,000 crore range ($7–9 billion). At the ₹8,010 crore fresh issue size, that implies roughly 11–13% dilution. Compared to listed peers like Zomato — which trades at elevated multiples — Zepto's valuation will face serious institutional scrutiny.
For a brand as well-known as Zepto, retail GMP enthusiasm will likely be high from Day 1. The more meaningful signal will be QIB subscription — are mutual funds and FIIs committing at the asking price?
