Need practical advice: How can I finance ₹2.5 crore to acquire/release an industrial property already mortgaged with an NBFC? Salaried buyer, OTS involved, and no eligible family co-borrower

Help

Need advice: How can I realistically finance ₹2.5 Cr for an industrial property under OTS?
Looking for advice from bankers, credit managers, DSAs, CAs or anyone who has handled a similar case.
Situation:
Industrial/factory property in MP is currently mortgaged with an NBFC.
Loan became NPA and recovery proceedings started.
Outstanding: ~₹4.36 Cr
Proposed OTS: ~₹3.5 Cr
I want to acquire/save the factory through a completely documented transaction.
I am salaried with ₹41 LPA income.
I need approximately ₹2.3–2.5 Cr funding.
I don’t have an earning spouse/blood-relative co-borrower.
I know an established gas-pipeline businessman with several years of profitable business history, ITR/GST/banking records, who may genuinely participate in the transaction.
We are not related.
A normal joint retail LAP seems difficult because lenders often require related co-applicants.
So I’m considering:
₹2.5 Cr LAP in my individual capacity.
Me + businessman as joint borrowers, if any lender allows unrelated applicants.
Genuine LLP/Pvt Ltd with both of us as promoters/guarantors.
Using his existing established business entity for the acquisition.
SME/secured acquisition finance instead of retail LAP.
Incoming lender directly paying the existing NBFC under OTS, with simultaneous release of the factory/title documents and creation of the new lender’s mortgage.
My main question:
If you were structuring this ₹2.5 Cr transaction, what would be the most realistic route to actual disbursement?
Would you go for LAP, SME secured loan, acquisition finance, existing business entity, or another structure?
Also, which banks/NBFCs actually have appetite for this type of ₹2–3 Cr industrial-property transaction?
I am looking for a completely legal and transparent structure — no fake partnership, fake turnover, hidden NPA or misrepresentation.
Would really appreciate practical advice from someone working in credit/SME lending.
