LLC Partner Dispute location: Southcarolina
I am a bookkeeper( I was hired to do just monthly bookkeeping) and a client(G) that I onboarded in October of 2025 is now trying to remove his partner(C), the partner did not hold up their side of the partnership, C's actual title was CFO, so they were in charge of paying bills making sure projects stayed in budget, creating new project estimates, over the course of November to now (July) C paid multiple equipment payments late (G figured this out upon a notices of penalties that are now due), over spent on multiple projects, I figured this out once G asked me to review the projects because they basically ran out of money and didn't understand why. So now G is trying to remove C from being a part owner in their business. G said they would need some reports from me and project reports on how they went over budget ect, and also asked if I could possibly be a witness to what has happened over the past few months. I have now also received an email from C asking for a lot! Bank statements, Hubdoc receipts, Credit card statements, Project reports, all invoices, all communication between me and G, and my professional opinion of the businesses health. C also quoted this "As the book keeper, you are the keeper of record. With that, I am requesting the following. This request is pursuant to Title 33, Chapter 44, Article 4, § 33-44-408 — “Member’s right to information.”
Furthermore, § 33-44-103(b)(1) says an operating agreement may not unreasonably restrict a member’s right to information or access to records under § 33-44-408. "
So now I am concerned! I did forward this email to G.
My legal question is Should/can I be a witness for G and do I legally have to give C any of the things they requested? If so which ones or is there a place I can find a specific list of what business partners are entitled to? Location: South Carolina Should I wait for G's Lawyers to tell me what to do? I find this when i searched the above referenced chapters https://www.scstatehouse.gov/code/t33c044.php
A limited liability company shall provide members and their agents and attorneys access to its records. but what does records mean? just the financial reports? Thank you to anyone who can help.
