Confused to When Do Online Out of State LLC's Become Subject to New York Registration Requirements.
What is the legal framework for determining when an out of state LLC is considered to be “doing business” in New York and therefore required to register as a foreign LLC?
For example, suppose someone lives in NYC temporally but has a full-time job unrelated to the business and starts an online platform operated through an out of state LLC. The platform is entirely online, and the owner only works on it part-time.
At what point would those activities trigger a requirement to register the LLC in New York?
