License agreement questions review and advice please
Hi, I am a developer for a company id like to create, however ive never embarked down this path and thus i know nothing about license agreements. Ive drawn up what i think is a fair license agreement but im curious if anyone can offer refinements, advice, what can be included, if the whole thing needs restructuring, etc. Any and all advice towards the creation of a franchise would be immensely appreciated. This would be in regards towards business law corporate law and LLC laws.
If any content is unapproved, could a mod contact me with what needs to be rewritten so this post is acceptable by the legaladvice reddit forum?

# RUNEGATE COMMUNITY & DEVELOPER COVENANT
# Copyright (C) 2026 Gamers Pantheon LLC & The RUNEGATE Creator Community
# All Rights Reserved.
# ==============================================================================
# SECTION 1: CUSTODIAL REVENUE & THE 50/50 GUARANTEE
# ==============================================================================
# 1.1 Non-Profit Platform Custodianship
# Gamers Pantheon LLC operates solely as the platform custodian, server host, and
# legal shield for the RUNEGATE ecosystem. Direct operational expenses (hosting,
# transaction fees) and a transparent, capped expansion reserve shall be deducted
# first. Gamers Pantheon LLC shall take no corporate dividends or profit extractions.
# 1.2 Profit Allocation (50/50 Community & Defense Split)
# 100% of remaining Net Revenue shall be split into two dedicated pools:
# a) The Modder Fund (50%): Distributed directly to creators based on transparent,
# publicly auditable community engagement and module usage metrics.
# b) Emergency Legal War Chest (50%): A segregated, non-extraction defense fund
# reserved strictly for enforcing copyrights, defending against IP claims, and
# shielding the platform and its creators.
# 1.3 Stagnant War Chest Spillover
# A baseline retention cap shall be established for the Legal War Chest. If the
# fund reaches its cap and remains unutilized for four consecutive quarters,
# stagnant funds above the cap automatically spill over at the quarter's close:
# - 70% redistributed into the Modder Fund for immediate creator payouts.
# - 30% reallocated to the Platform Expansion Fund for engine development.
# ==============================================================================
# SECTION 2: INTELLECTUAL PROPERTY & CREATOR PORTABILITY
# ==============================================================================
# 2.1 Asset Ownership ("What's Yours is Yours")
# Contributors retain 100% copyright over all original standalone assets (3D models,
# audio, code libraries, textures, text). Creators may export, reuse, or sell their
# standalone assets outside RUNEGATE without owing royalties, provided external
# projects do not utilize RUNEGATE IP.
# 2.2 Shared Universe Integration ("The Gameplay Glue")
# To maintain continuity and stability across the shared universe, the assembled
# Module—including its RUNEGATE lore links, mechanical balancing, and ecosystem
# integration—remains within the platform. Publication grants Gamers Pantheon LLC
# a perpetual license to distribute and maintain the Module within the ecosystem.
# 2.3 Defensive Representation
# Publishing a Module grants Gamers Pantheon LLC centralized authority to issue DMCA
# takedowns and pursue legal action against outside third parties who attempt to steal,
# scrape, or monetize creator works without authorization.
# ==============================================================================
# SECTION 3: ECOSYSTEM ARCHITECTURE (MODULES VS. PLUGINS)
# ==============================================================================
# 3.1 Modules (Official Ecosystem IP)
# Modules encompass all playable content, campaigns, and asset packs using RUNEGATE
# lore or core mechanics.
# a) Modules are vetted, hosted, and distributed via official platform infrastructure.
# b) Modules are fully eligible for Modder Fund revenue sharing.
# c) Modules must NEVER contain unauthorized third-party intellectual property.
# 3.2 Plugins (User-End & Client Modifications)
# Plugins are user-generated scripts, local file modifications, or asset packs loaded
# independently by end-users or second-party server hosts.
# a) Gamers Pantheon does not host, index, sell, or distribute Plugins.
# b) Execution is restricted to local single-player or second-party servers.
# c) Liability Notice: End-users and second-party server hosts assume 100% legal
# and financial liability for any third-party IP infringement in Plugins.
# ==============================================================================
# SECTION 4: GOVERNANCE & AUDITING
# ==============================================================================
# 4.1 Transparency & Notice
# Modder Fund payout metrics and Legal War Chest balances shall remain transparent
# to publishing contributors. Material changes to allocation metrics require a
# 30-day notice and community review period.
# ==============================================================================
# SECTION 5: LEGAL INTEGRITY & GOVERNING TERMS
# ==============================================================================
# 5.1 Standalone Assets vs. Derivative Systems
# For the purposes of Section 2.1, "Standalone Assets" shall mean un-integrated 3D
# meshes, textures, audio files, and standalone code blocks. "Derivative Systems"
# shall mean assembled Modules, RUNEGATE lore bindings, and engine-level mechanics.
# Standalone Assets remain the exclusive property of the creator; Derivative Systems
