Question regarding the Raviga buyout of Russ Hanneman...

I might have missed something, but I thought the deal with Russ was structured as a loan in exchange for an option at equity, in addition to the two board seats. If Richard had the capital to buy out Russ before the Raviga deal, would he have also absorbed the two board seats, or would those have forever belonged to Russ?
