MVIS: A few notes on the 60 million shares and other matters

Discussion

At the beginning I want to clarify something to avoid possible misunderstandings.

It is generally important in life to have a critical attitude at times, not to be naive, in order to get along better in life. What is generally important in life therefore also applies to parts of life, such as investments.

In principle there is a constructive and a destructive kind of critical thinking. I reject the destructive form, a constructive critical attitude is fundamentally important.

Criticism for the sake of criticism is useless - criticism to improve conditions and minimize risks is essential.

With regard to the MVIS investment, there were several reasons for long-term investors to have a skeptical view. In the past, this was impressive to read in several posts from several shareholders. I don't get the impression that these shareholders have a destructive attitude. Rather, there were some reasons for understandable frustration and thus for justified criticism.

A justified, constructive criticism only serves the purpose that risks should be minimized and that something should be improved.

A justified, constructive criticism therefore has positive intentions and corresponding goals.

We owe the progress to the critics. Criticism is an integral part of progress. Satisfied people do not want change.

Criticism and confidence

Criticism and confidence are not mutually exclusive.

Criticism and confidence are two sides of the same coin.

With regard to the MVIS share, some long-term investors have expressed criticism, including me. Nevertheless, these critical long-term investors hold the stock because they see a lot of potential, including me.

Past critical statements regarding the MVIS share do not mean that the share (or the technology) has no potential.

Recently the share price rose to over $3.40. I was in the green zone at that time and could have sold at a profit. But I didn't do it because my personal assessment is well over 5 dollars. Whether the (fair) value for the stock is $5.60, $6.40, $7.20 or higher, I don't know.

My personal assessment of well over $5 is not a buy recommendation and my criticism is not a sell recommendation.

Some discussion forums and other sources sometimes state that an MVIS share is worth or can be worth over $ 100 or even over $ 1,000. I think that's grossly exaggerated.

About the 60 million shares

When you make a decision, you should have as much information as possible beforehand in order to be able to make a good decision. This includes looking at things from different perspectives, getting other opinions, weighing up the pros and cons.

This is also the case when it comes to the decision to vote for or against another 60 million shares.

In my written contribution (https://www.reddit.com/r/Microvision_MVIS/comments/i66cgw/mvis_some_thoughts_about_the_past_the_present_and/) I have set out some aspects/risks/eventualities that one should not neglect as a shareholder. My main concern was that we shareholders should not be burdened further financially.

I've outlined 2 ways (A) that the company has high value and (B) that current offers for the company are not high. For the variant with a high company value (A), I prefer selling the company this year and no further capital increase.. If a sale does not take place this year, it could be liquidated after the bankruptcy declaration in January 2021.

Option A assumes that the value of the company is high and that after a declaration of bankruptcy (should Microvision not be sold) the high value will be distributed to us shareholders.

However, since I do not know all the laws in detail, I cannot assess the circumstances exactly. If this "equation" has too many (unknown) variables, then it would mean uncertainty.

So my question is: Is liquidation after a declaration of bankruptcy the best option for us shareholders or is there a better alternative?

Take your time to read my article - read my article in peace. This gives you further perspectives in order to be able to make better decisions.

I think the ideas presented are good.

Maybe there are better ideas who knows.

Note: Since I wrote this post over a month ago and some things have developed in that time, I would rephrase some passages a bit.

It is interesting that some forum participants also spoke out in favor of a capital increase of a maximum of 10 million shares, as my plan B includes.

There were Easter eggs.

Let's hope the current Easter eggs are tasty.

In my opinion, it would be important that the proxy had specified a minimum percentage of shares that may be used exclusively for the sale of the company (for example, at least 75% of the 60 million shares are used exclusively for the sale of the company and may not be used for any other purpose).

I do not see that it has been written down in this or any similar form.

I have finished my very first written contribution in this forum as follows:

"The definition of insanity is to do the same thing over and over again and expect different results. (A.Einstein)

Please vote NO on all."

In this post I will not ask for any particular voting behavior.

The last days you can read here several times that you should vote yes and you should do so as soon as possible („Do it as soon as possible“ … „continue to have patience“ … but „Go ahead and vote now.“). https://www.reddit.com/r/MVIS/comments/ihp66w/my_email_to_fellow_shareholders_regarding_the/

I would like to reach neither a yes vote nor a no vote from you.

Besides you have time to vote. For a mature decision you should also take your time.

It is important to get a comprehensive picture, to read different opinions to come to a good decision.

You decide as you think it is right after you have thought about it thoroughly.

A few words to the leadership

Since you can read here from time to time that Sumit Sharma and the leadership sometimes or regularly read this forum, I would like to address the following lines to them.

We investors, especially the long-term investors, have invested (a lot of) money in a company in which we saw (see) a great future. The translation of the technology into market-ready products and the development of the share price in the past were not very pleasing, especially for the loyal long-term investors.

Already 2 decades ago (and in the following years) people full of hope saved (much) money to invest (much) money in the company by buying the shares. These are people who wanted to finance the future, the school of their children. Also those who wanted to improve their pensions etc.

Previously, these individuals paid $4, $5, $8 or more than $10 per share. Maybe they could afford 1000, 5000 or 10000 shares with their savings. Today (after the 1:8 rs in 2012) out of the 10000 shares there are only 1250 shares left, which at times were worth less than $0.20 per share.

From a formerly hopeful investment of (for example) 50000 $ for 10000 shares (for which the person may have saved for a long time), at times only a value of about 200 $ was available. At a current share price of about $1.50, the value is $1875.

This is not a positive development and it is difficult to finance the future, the children's school.

You are just reading the lines of someone who bought the first MVIS shares over 17 years ago and still owns them. Myself and many other long-term shareholders have been very patient - our patience was strained very much.

The technology was created mainly by the creative and skilled technicians and engineers.

Are you aware that the loyal long-term investors also made the development of the technology possible?

Because without the money (especially the loyal long-term investors) the development of the technology would not have been possible.

The loyal long-term investors in particular have paid a high price for the technology as it exists today.

Or do you have another opinion?

Did the MVIS leadership also have to pay a high price that comes close to the example of loyal long-term investors?

Good salaries and other benefits are appropriate if there is economic success.

Do you consider the salaries and other allowances received in recent years to be appropriate, as there has not been any economic success for more than two decades?

If the 60 million shares are approved, I and all other shareholders hope that they will be used profitably.

Above all, I wish you good health and, in your interests and in the interests of all shareholders, every success in implementing the sale of the company.

Please also think of the many mothers and fathers who used to save (a lot) money in order to invest in our technology. As a result, the technology has now developed as far as it is today.

These mothers and fathers want to be able to tell their children a story of their former investment that ends with a positive conclusion to which you (leadership) have contributed with your current work.

All the best for all long-term investors.
