What I’ve learned after helping investors acquire over $1.5 billion in CRE assets

After 3 years financing EMDs for all kinds of investors and developers, here a few a things I which mmore poeple in the industry knew:

- Soft deposit financing is only for those without funds.

This is hoenstly one of the most misdunerstood financing tools out there. And that misunderstanding is costing people deals.

In practice, many seasoned operators use it, knowing that tying up hundreds of thousands in escrow limits their ability to act on what comes next.

But you know what?

- It’s not for everyone. And that’s okay.

Part of being good at what we do is understanding who we’re actually serving. EMD financing is a strategic tool for investors who understand capital structure and liquidity management.

If you’re building a portfolio or scaling operations, this makes sense. If you’re doing one deal every few years and have plenty of liquidity sitting idle, it probably doesn’t.

Having said that…

- There’s way more need for this than people realize.

Most investors can secure the big financing. It’s the gaps in between that become the problem.

And the pieces left over. Deposits and soft costs are where deals start to stall or fall apart.

So with that in mind:

- EMD financing shouldn’t be an afterthought.

You’d be surprised how many investors reach out with executed contracts, needing the deposit wired in the next few hours.

Can we move fast? Yes. EMD financing is designed to give you speed and flexibility, but it works best when it’s part of your strategy from the start.

And no…

- A fully refundable deposit doesn’t make you look weak.

Refundable doesn’t mean uncommitted.

A larger refundable deposit shows the same level of seriousness as a hard one, with one big difference: you’re not risking your capital if something goes wrong during due diligence.

It often also gives you leverage to negotiate better terms: longer inspection periods, more favorable contingencies, or even a better purchase price.

And just a reminder:

- Please never send a deposit before a contract is executed.

I don’t care what the seller says. I don’t care how competitive the market is.

Protecting yourself is just as important as protecting the deal.

Never underestimate the small parts that get a large deal moving. Strategic thinking about liquidity and capital structure at the earliest stages can completely change how you scale.

Are you familiar with EMD financing? What has your experience with it been like?
