Thursday 20th August Update

Read everything precisely before drawing conclusions.

August 19 — the data

Open: $1.36. High: $1.3701. Low: $1.11. Close: $1.18. Volume: 1,906,100.

FINRA: 519,649/917,761 = 56.62%. IBKR: 2,199 shares at 45.47%. Two lenders.

The price in post-RS adjusted terms against pre-RS equivalent: $1.18 post-RS ÷ 20 = $0.059 pre-RS equivalent.

The RS compressed shares 20:1, multiplied price 20×, and the stock is now trading at essentially its pre-RS adjusted value. The RS resolved the compliance clock but did not create any price premium. The market is treating it as a neutral adjustment.

The IBKR chart tells the complete post-RS borrow story

The orange line peaked around August 18 at approximately 500,000 shares — a fresh borrow pool established at the RS effective date — then collapsed to near zero by August 20.

The sequence: August 17 RS effective. New CUSIP. New borrow pool established at the post-RS share level. August 18: 500K borrow deployed. Volume 14.8M. Price reached $1.57 high before suppression. Close $1.50. August 19: Borrow collapsing rapidly toward zero. Volume 1.9M. Price falls to $1.18. August 20: 2,199 shares. Essentially zero.

This is the exact pattern we documented post May 18 RS. New CUSIP → fresh borrow established → deployed to attack at elevated price → consumed within days → near zero. The RS didn't end the attack. It reset its CUSIP and gave the MM a brief window of fresh borrow at the new price level.

The 8-K that only confirmed the RS — what the silence means

Companies are required under SEC rules to file 8-Ks within 4 business days of material events. The mandatory disclosures that should exist but don't:

Nasdaq deficiency notice — when Nasdaq issues a late filing deficiency notice, companies must disclose this within 4 business days under Item 3.01 of Form 8-K. The 10-K is now approximately 6 business days past the NT extension deadline. A deficiency notice should have been issued. The company should have filed an 8-K disclosing it. Neither has appeared.

The dilution 8-K — 94.9 million shares were created before the RS. That event requires disclosure under Item 3.02 if unregistered securities were sold. No such filing exists.

The communication silence is itself a compliance failure — companies cannot simply go quiet when they have missed filing deadlines. Investors are entitled to understand why. The only legitimate reason for complete silence is if Nasdaq and the SEC have agreed to an informal extension while the company and its auditors work through the Ju.com disclosure issues.

The most honest reading of the situation

Three things can be simultaneously true:

Rafael, YYEM, and Best Life are real businesses with real value. The standalone asset value of $53-74 per post-RS share is genuine. The attack has been real and documented.

The Ju.com situation created disclosure complications the company cannot resolve quickly. If Ju.com's assets were fabricated, the 10-K cannot accurately describe an asset that doesn't exist. The auditors will not sign an opinion on materially misstated financials. The delay is the auditors refusing to approve something they cannot verify.

The undisclosed 94.9M share dilution is a serious securities law violation regardless of the business rationale. Whether it was to honor certificate holders, to fund Ju.com-related obligations, or for some other purpose — it happened without the required disclosures.

The FINRA short ratio — what 56.62% on 917K volume means

The volume collapsed 52% from August 18's 3.1M. The proportional short intensity:

519,649 / 917,761 = 56.62% — essentially unchanged from the attack period.

The machine is still running at maximum proportional intensity on near-zero absolute volume. Against 4.8M post-RS shares:

519,649 shorts ÷ 4,800,000 shares = 10.8% of total outstanding shorted in a single session.

Post-RS the attack has immediately rebuilt to 10.8% daily short pressure on near-zero borrow. The two lenders with 2,199 shares are providing 0.046% of what's being shorted. The rest is either locate recycling, intraday rolling, or exempt exemption quietly restored at low levels.

The fee at 45.47% with 2 lenders

The fee range over the past month: 23.23% to 46.97%. Current: 45.47% — approaching the month's high. Two lenders at near-maximum utilization. The post-RS fee trajectory is building from low post-RS baseline exactly as the pre-RS fee built from 20.36%.

Where things stand honestly

The stock at $1.18 is:

Against standalone business value of $53-74 per post-RS share: 97.8-98.4% discount. Unchanged in percentage terms from before the RS.

Against the ongoing information vacuum: appropriately discounted until the 10-K resolves the Ju.com disclosure questions, the dilution mechanism is explained, and the auditor signs the financials.

Against the attack: still under synthetic pressure at 56.62% proportional short ratio on near-zero borrow, same as the pre-RS attack pattern.

What would resolve this

The 10-K filing with: — An honest accounting of the Ju.com relationship and what assets, if any, are real — Explanation of how 94.9M shares were created and who received them — The auditor's opinion — whether clean, qualified, or a going concern flag — Cash position after the $30M USDT payment for Best Life — Rafael, YYEM, and Best Life financials consolidated

Without that document, the market cannot price the stock rationally. At $1.18 on 917K volume with 2,199 shares of borrow and two lenders, the market is essentially frozen — waiting for information that is now significantly overdue.

The three real businesses justify far more than $1.18. The uncertainty around Ju.com and the missing 10-K justifies a very substantial discount from fair value until clarity arrives.

The silence is the problem. The company's obligation — to its shareholders, to Nasdaq, to the SEC — is to communicate. Every day of silence after a missed filing deadline compounds the compliance failure and deepens the uncertainty discount.
